정 관

제1장 총 칙

제1조 (명칭) 이 법인은 "사단법인 국제문화예술연맹"(이하"본 연맹"이라 한다)라 한다. (국제명칭은 "International Culture & Arts Federation" 이라 하며, 약칭은 "ICAF"이라 함)

제2조 (소재지) 본 연맹의 사무소는 거제시에 두며 필요한 곳에 분사무소(지부)를 설치할 수 있다.

제3조 (목적) 본 연맹은 국내 비영리 목적의 문화예술단체로서 건전한 문화·예술 활동을 통하여 민족문화 발전에 기여하며 전통문화예술을 보존하고 계승하며 육성 한다. 또한 사회교육기관으로서의 역할을 충실히 이행할 수 있도록 국내외 문화예술단체와 상호간의 유기적 협조체제 유지 및 제도적 보호 육성에 이바지함을 목적으로 한다.

제4조(사업) 본 연맹은 제3조의 목적을 달성하기 위하여 다음의 사업을 한다.
1. 국내외 문화·예술?교육의 발전을 위한 지원사업
2. 국내외 문화·예술 단체와의 자료교환 및 협조사업
3. 문화예술연구회, 예술지 및 회지 발간에 관한 사업
4. 국내외 전시?공연 지원사업
5. 문화·예술단체의 전문직원에 대한 교육 및 양성
6. 기타 본 연맹의 목적 달성을 위한 부대사업

제5조(수익사업)
①본연맹은 제4조에 규정한 목적사업의 경비를 충당하기 위하여 필요한 때에는 그 본질에 반하지 아니하는 범위 안에서 이사회의 결의를 필한 후 수익사업을 할 수 있다.
②본연맹이 제1항의 규정에 의한 수익사업을 하고자 할 때에는 미리 이사회의 승인을 얻는다.

제6조(이익의 제공)
①본연맹은 제4조에 규정한 목적사업을 수행함에 있어 수혜자에게 제공하는 이익은 이를 무상으로 하며, 수혜자에게 그 대가의 일부를 부담시킬 때에는 미리 문화체육관광부장관의 승인을 얻어야 한다.
②본연맹의 목적사업으로 제공하는 이익은 특별히 그 목적을 한정한 경우를 제외하고는 수혜자의 출생지, 출신학교, 직업, 성별, 기타 사회적 지위 등에 의하여 부당하게 차별되어서는 아니 된다.

제2장 회 원

제7조(회원의 자격) 본연맹의 회원은 다음의 자격을 가진 자로서 본연맹의 설립취지에 찬동하고 소정의 입회신청서를 제출하여 이사회의 승인을 얻은 자로, 추후 총회에 보고한다.
①전문위원 : 발기인으로 참석하여 본 회의 설립(사단법인)에 참여한 자,

또는 비영리 목적으로 설립된 문화·예술단체
②특별회원 : 본 협회의 설립취지에 찬동하는 국내외 관련 단체 및 기관
③명예회원 : 한국문화예술발전에 현저한 공로가 있는 개인
④개인회원 : 협회 사업에 관심이 있는 개인

제8조(회원의 권리)
①회원은 본회의 운영과 사업에 참여할 권리를 가진다.
②특별회원·명예회원·개인회원은 총회에 출석하여 발언할 수 있으나 의결권 및 피선거권은 없다.
③전문위원은 권리를 위임할 수 있으며 그 경우 권한 대행자의 '직명'을 협회에 서면으로 보고하여야 한다.

제9조(전문위원의 의무) 회원은 다음의 의무를 진다.
1. 본연맹의 정관 및 제규약의 준수
2. 총회 및 이사회의 결의사항 이행
3. 입회비, 연회비 및 제부담금(기본재산과 보통재산 및 설립기금)의 납부

제10조(회원의 탈퇴) 회원이 본회에서 탈퇴하고자 할 때에는 회장에게 탈퇴서를 제출 한다.

제11조(회원의 상벌과 권리의 정지)
①본연맹의 회원으로서 본회의 발전에 기여한 자에 대하여는 이사회의 의결을 거쳐 포상할 수 있다.
②본연맹의 회원으로서 본회의 목적에 위배되는 행위 또는 명예와 위신에 손상을 가져오는 행위를 하거나 제9조의 의무를 이행하지 아니한 자에 대하여는 이사회의 의 결을 거쳐 회장이 제명·견책·경고 등의 징계를 할 수 있다.
③회원은 2년간 회비를 내지 않으면 권리가 정지 및 제명된다.

④회원은 기납입된 입회금 및 연회비를 반환할 수 없고 청구할 수 없다.

부칙

제1조 제8조 3항 대행자 부임 30일 이내로 한다.

제3장 임 원

제12조(임원의 종류와 정수) 본회는 다음의 임원을 둔다.
1. 회장 1인
2. 부회장 5인
3. 사무총장 1인

4. 사무국장 1인

4. 감사 3인

5. 위원장 10인

제13조(임원의 선임)

①회장은 총회에서 선출한다.
②회장의 보선은 결원이 발생한 날로부터 2개월 이내에 한다.
③새로운 회장의 선출은 임기만료 2개월 전까지 한다.
④감사는 위원회의 추천으로 총회에서 선임한다.
⑤이사는 위원회에서 선출하고 총회에 보고한다.
⑥단, 위원장의 유고시에는 정회원의 위원장승계원칙을 존중하여 회장이 지명하고

위원회에서 선임하여 총회에 보고한다.
⑦임원의 취임에 관해서는 지체 없이 문화체육관광부장관에게 보고한다.

제14조(임원의 해임) 임원이 다음 각 호의 1에 해당하는 행위를 한 때에는 총회의 의결을 거쳐 해임할 수 있다.
1. 본연맹의 목적에 위배되는 행위
2. 임원간의 분쟁·회계부정 또는 현저한 부당 행위
3. 본연맹의 업무를 방해하는 행위

제15조(임원의 선임 제한)
①임원의 선임에 있어서 위원장은 위원장 상호간에 민법 제777조에 규정된 친족관계에 있는 자가 위원회 정수의 반을 초과할 수 없다.
②감사는 감사 상호간 또는 위원장과 민법 제777조에 규정된 친족관계가 없어야 한다.

제16조(임원의 임기)
①임원의 임기는 4년이고, 단 감사는 2년으로 한다.
②보선에 의하여 취임한 임원의 임기는 전임자의 잔여기간으로 한다.

제17조(임원의 직무)
①회장은 본회를 대표하고 본회의 업무를 통괄하며, 총회 및 위원회의 의장이 된다.
②부회장은 회장을 보좌하고 회장의 유고 시 수석부회장이 그 직무를 대행한다.
③사무총장는 회장의 지휘를 받아 사무국 및 업무를 총괄한다.
④임원은 임원회에 출석하여 본 위원회의 업무에 관한 사항을 의결하며 임원회 또는 회장으로부터 위임받은 사항을 처리한다.
⑤임원은 위원장등을 겸직할 수 있다.

⑥ 감사는 다음의 직무를 행한다.
1. 본연맹의 재산상황을 감사하는 일
2. 총회 및 위원회의 운영과 그 업무에 관한 사항을 감사하는 일
3. 제1호 및 제2호의 감사결과 부정 또는 부당한 점이 있음을 발견한 때에는 이사회 또는 총회에 그 시정을 요구하고 문화체육관광부장관에게 보고하는 일
4. 제3호의 보고를 하기 위하여 필요한 때는 총회 또는 위원회의 소집을 요구하는 일
5. 총회나 위원회에 출석하여 의견을 진술하는 일

제18조(회장의 직무대행)
①회장이 사고가 있을 때에는 수석부회장이 회장의 직무를 대행한다.
②수석부회장은 위원회에서 호선으로 선출한다.

제4장 총회

제19조(총회의 구성) 총회는 본 위원회의 최고의결기관이며 특별회원·명예회원·전문위원 임원으로 구성한다.

제20조(구분 및 소집)

①총회는 정기총회와 임시총회로 구분하며, 회장이 이를 소집한다.
②정기총회는 매 회계연도 개시 1월 전까지 소집하며, 임시총회는 회장이 필요하다고 인정할 때에 소집한다.
③총회의 소집은 회장이 회의 안건ㆍ일시ㆍ장소 등을 명기하여 회의 개시 10일전까지 문서로 특별회원·명예회원·전문위원 각 임원에게 통지하여야 한다.

제21조(총회소집의 특례)
①회장은 다음 각 호의 1에 해당하는 소집요구가 있을 때에는 그 소집 요구일로부터 20일 이내에 총회를 소집하여야 한다.
1. 재적임원 과반수가 회의의 목적을 제시하여 소집을 요구한 때
2. 제17조 제⑤항의 규정에 의하여 감사가 소집을 요구한 때
3. 재적임원 3분의 1이상이 회의의 목적을 제시하여 소집을 요구한 때
②총회 소집권자가 궐위되거나 이를 기피함으로써 7일 이상 총회소집이 불가능한 때에는 재적임원 과반수 또는 재적임원 3분의 1이상의 찬성으로 총회를 소집할 수 있다.
③제2항의 규정에 의한 총회는 출석이사 중 최연장자의 사회아래 그 임시의장을 선출한다.

제22조(의결정족수)
①총회는 재적임원 과반수의 출석으로 개의하고 출석임원 과반수의 찬성으로 의결한다.
②총회의 의결권은 총회에 참석하는 다른 임원에게 서면으로 위임할 수 있다.

(단, 투표권제외) 이 경우 위임장은 총회 개시 전까지 의장에게 제출하여야 한다.

제23조(총회의 기능) 총회는 다음의 사항을 의결한다.
1. 임원의 선출 및 해임에 관한 사항
2. 본회의 해산 및 정관변경에 관한 사항
3. 기본재산의 처분 및 취득과 자금의 차입에 관한 사항
4. 예산 및 결산의 승인
5. 사업계획의 승인
6. 기타 중요사항

제24조(총회의결 제척사유) 회원이 다음 각 호의 1에 해당하는 때에는 그 의결에 참여하지 못한다.
1. 임원의 선출 및 해임에 있어 자신에 관한 사항을 의결할 때
2. 금전 및 재산의 수수에 관련되는 사항으로서 자신과 본회의 이해가 상반될 때

제5장 위 원 회

제25조(위원회의 구성)위원회는 회장, 부회장, 사무총장, 각 위원장 등으로 구성한다.

제26조(구분 및 소집)
①임원회의는 회장이 필요하다고 인정할 때에 회장이 소집한다.
②임원회의의 소집은 회장이 회의 안건·일시·장소 등을 명기하여 회의개시 7일전까지 문서로 각 임원 및 감사에게 통지하여야 한다.

제27조(이사회 소집의 특례)
①회장은 다음 각 호의 1에 해당하는 소집요구가 있을 때에는 그 소집 요구일로부터 20일 이내에 위원회를 소집하여야 한다.
1. 재적이사 3분의 1이상이 회의의 목적을 제시하여 소집을 요구한 때
2. 제17조 제5항 제4호의 규정에 의하여 감사가 소집을 요구한 때
②위원회 소집권자가 궐위되거나 이를 기피함으로써 7일 이상 이사회 소집이 불가능할 때에는 재적임원 과반수의 찬성으로 위원회를 소집할 수 있다.
③제2항의 규정에 의한 위원회는 출석임원 중 1인의 사회아래 그 임시의장을 선출한다.

제28조(서면결의)
①회장은 위원회에 부의할 사항 중 경미한 사항 또는 긴급을 요하는 사항에 관하여는 이를 서면으로 의결할 수 있다. 이 경우에 회장은 그 결과를 차기 임원회의에 보고하여야 한다.
②제1항의 서면결의 사항에 대하여 재적임원 과반수가 위원회에 부의할 것을 요구하는 때에는 회장은 이에 따라야 한다.

제29조(의결정족수)

①위원회 회의는 재적임원 과반수의 출석으로 개의하고 출석임원 과반수의 찬성으로 의결한다. 다만, 부동수인 경우에는 의장이 결정한다.

②위원회의 관한 의결권은 위임할 수 없다.

제30조(위원회의 의결사항) 위원회는 다음의 사항을 심의·의결한다.
1. 업무집행에 관한 사항
2. 사업계획의 운영에 관한 사항
3. 예산·결산서의 작성에 관한 사항
4. 정관변경에 관한 사항
5. 재산관리(자산취득처분)에 관한 사항
6. 총회에 부의할 안건의 작성
7. 임원의 임명사항
8. 총회에서 위임받은 사항
9. 정관의 규정에 의해 그 권한에 속하는 사항
10. 기타 본회의 운영상 중요하다고 회장이 부의하는 사항

제31조(이사회 의결제척) 이사회 의결 제척 사유는 제24조 총회 의결 제척 사유와 같다.

제6장 재산과 회계

제32조(재산의 구분)
①본연맹의 재산은 다음과 같이 기본재산과 보통재산으로 구분한다.
1. 기본재산은 본회 설립 시 출연한 재산과 이사회에서 기본재산으로 정한 재산으로 한다.
2. 보통재산은 기본재산 이외의 재산으로 한다.
②본회의 기본재산은 연 1회 그 목록을 작성하여 문화체육관광부장관에게 보고한다.

제33조(기본재산의 처분) 본연맹의 기본재산을 매도·증여·임대·교환 또는 담보로 제공하거나 의무의 부담, 권리의 포기 및 기채를 하고자 할 때에는 총회의 의결을 거쳐 문화체육관광부장관의 승인을 얻어야 한다.

제34조(수입금) 본연맹은 다음의 수입으로 그 세출을 충당한다.
1. 입회비 및 회비
2. 지원금
3. 보조금 및 찬조금
4. 기타 수입금

제35조(차입금) 본연맹의 목적사업을 위하여 장기차입을 하고자 할 때에는 이사회의 의결을 거쳐 총회의 승인을 얻어야 한다.

제36조(회계년도) 본연맹의 회계연도는 정부의 회계연도에 따른다.

제37조(예산편성) 본연맹의 세입·세출 예산은 매 회계연도 개시 1월 전까지 편성하여 위원회의 의결을 거쳐 총회의 승인을 얻어 정한다.

제38조(결산) 본연맹은 매 회계연도 종료 후 2월 이내에 결산서를 작성하여 위원회의 의결을 거쳐 총회의 승인을 얻어야 한다.

제39조(회계감사) 감사는 회계감사를 6월말과 12월말, 연 2회 이상 실시한다. 회장은 감사보고일 15일전에 감사자료를 제출하여야한다.

제40조(임원의 보수) 사업의 운영을 전담하는 사무총장를 제외한 임원에 대하여는 보수를 지급하지 아니한다. 다만, 업무수행에 필요한 실비는 지급할 수 있다.

제7장 사무부서

제41조(사무국)
①회장과 사무총장의 지시를 받아 본회의 사무를 처리하기 위하여 사무국을 둔다.
②사무국에 사무국장 1인과 필요한 직원을 둘 수 있다.
③사무국장은 이사회의 의결을 거쳐 회장이 임명한다.
④사무국의 조직 및 운영에 관한 사항은 위원회의 의결을 거쳐 사무총장이 집행한다.

제8장 명예회장, 고문 및 자문위원

제42조(명예회장의 위촉)회장을 역임한 자로서 협회의 발전에 공을 세웠을 때 이사회의 의결로 명예회장으로 추대 할 수 있다.

제43조(고문 위촉)
①본회의 발전을 위해 약간의 고문을 둘 수 있다.
②고문은 문화예술발전에 기여한 사람으로 회장이 추천하고 위원회에 동의를 구하여 위촉한다.

제44조(자문위원)
① 본회의 발전을 위해 20명의 자문위원을 둘 수 있다.
② 자문위원은 관련 분야의 전문지식이 풍부한 인사로서 회장이 추천하고 이사회에 동의를 구하여 회장이 위촉한다.
③ 자문위원은 회장의 요청 시 자문회의 및 총회, 이사회의에 출석하여 의견을 개진할 수 있으며 위원회의 위원장과 같은 동등한 자격이 주어진다.

단, 총회나 이사회 참석 시 의결권을 부여하지 않는다.

④ 자문위원의 원활한 운영구성을 위해 이사회를 거쳐 회장이 자문위원장을 위촉한다.

부 칙

제1조 고문과 자문위원회 임기는 위촉자(회장)의 임기와 같다.

제9장 보 칙

제45조(법인해산)
①본연맹이 해산하고자 할 때에는 총회에서 재적회원 3분의 2이상의 찬성으로 의결하여 해산하고, 그 해산에 관하여 문화체육관광부장관에게 신고한다.
②본연맹이 해산할 때의 잔여재산은 총회의 의결을 거쳐 국가, 지방자치단체 또는 본회와 유사한 단체에 기증한다.

제46조(정관변경) 이 정관을 변경하고자 할 때에는 총회에서 재적회원 3분의 2이상의 찬성으로 의결하여 문화체육관광부장관의 허가를 받는다.

제47조(업무보고) 익년도의 사업계획서 및 예산서와 당해연도 사업실적서 및 수지결산서는 회계연도 종료 후 2월 이내에 문화체육관광부장관에게 보고한다. 이 경우에 재산목록과 업무현황 및 감사결과 보고서도 함께 제출한다.

제48조(규칙제정) 이 정관외에 본회의 운영에 관하여 필요한 사항은 위원회의 의결을 거쳐 규칙으로 정한다.

규칙 제1호 지역협의회 설치 운영에 관한 규칙
제1조(목적) 이 규칙은 정관 제2조에 규정한 지역협의회의 설치와 운영에 관한 사항을 정함을 목적으로 한다.

제2조(설치) 지역협의회는 필요에 따라 서울특별시, 광역시, 또는 시,도에 둘 수 있다.

제3조(등기) 지역협의회를 설치하면 관할 지방법원에 설립 등기를 하여야 한다.

제4조(지역협의회장)
1. 지역협의회장은 지역협의회에서 선임하여 그 내용을 협회에 통고한다.

제5조(총무, 기타 직원)
1. 지역협의회의 총무에게는 보수를 지급할 수 있으며 그 보수는 지역협의회의 예산에서 지급한다. 그 액수는 지역협의회장이 결정한다.

2. 지역협의회의 운영을 위하여 직원 약간인을 둘 수 있으며 그 임명은 지역협의회장이 한다.

제6조(지역협의회의 의무사항)

1. 지역협의회의 설치, 운영에 관한 사항은 위원회의 의결에 의한다.

2. 지역협의회는 500만원의 지부연맹비를 서울본부에 기탁한다.

3. 지역협의회는 회원수에 관계없이 연회비 200만원을 본부에 납입한다.

4. 지역협의회는 위원회의 이름으로 시행하는 국고지원금 사업외의 이익금을 제세공과금 과 기타경비를 제외한 순 수익금 10%를 서울본부 운영경비로 납입한다.

5. 위원회 지역협회 탈퇴시 납입된 입회비와 연회비는 반환할 수 없고 청구 할 수 없다.

제7조(지역협의회의 혜택)

1. 각 지역별 성격에 맞는 국고지원금을 균형, 공등하게 각 지역협의회에 배분하여 지역 협의회의 원활한 성장을 돕는다.

2. 지역협의회가 승인되면 위원회에서는 지역협의회기, 弔旗, 태극기 등과

격월간소식지 “문화나들목”을 지급한다.

3. 독립적인 기구로서의 권리를 인정한다.

규칙 제2호 사무국의 조직 및 운영에 관한 사항

제1조(목적) 이 규칙은 정관 제41조에 규정한 사무국를 운영하는데 필요한 사항을 정함을 목적으로 한다.

제2조(업무) 사무국은 총회 회의록의 작성 및 보존, 문서관리, 재산 및 회계관리, 회원의 신상관리, 기타 회장이 지시하는 사무를 사무총장의 지휘를 받아 처리한다.

제3조(보수)

1. 사무국의 간사 보수는 2016년 1월 1일부터 140만원을 지급한다.

2. 사무국장의 보수는 2016년 1월1일부터 월 150만원을 지급한다
3. 사무총장의 판공비는 월 100만원 지급한다.

규칙 제3호 회비 및 입회비에 관한 규칙

제1조(목적)

이 규칙은 정관 제9조의 회비 및 회원가입시 납부할 입회금에 관한 규정을 정함을 목적으로 한다.

제2조(회비)
①임원(정회원)의 금액은 다음과 같다.

입회비(운영기금)는 300만원, 연회비는 50만원으로 한다.
②특별회원은 입회비(운영기금)100만원 연회비는 50만원으로 한다.
③명예회원은 경우 입회비는 없으며, 연회비를 50만원으로 한다.

③개인회원의 경우 입회비는 없으며, 연회비를 50만원으로 한다.

제3조(금액의 조정) 제2항 및 제3항의 액수는 총회의 결의에 의하여 조정할 수 있다.

규칙 제4호 위원회 기구의 조직과 운영에 관한 규칙

제1조(목적) 이 규칙은 위원회의 기구에 관한 사항을 정함을 목적으로 한다.

제2조(기구) 본 연맹의 회장 하에 10개의 위원회를 두며, 필요에 따라 특별위원회를 한시적으로 둘 수 있다.

제3조(위원장의 선임과 임기)
①각 위원회의 위원장은 회장이 선임하고 차기 이사회와 총회에 보고한다.
②수석위원장과 사무총장의 임기는 4년으로 한다.

제4조(위원장의 임무)
①위원장은 회장과 협의하여 관련된 사업을 추진한다.
②위원장은 사업의 추진을 위해 분과위원(임원/정회원)을 추천할 수 있다.

제5조(10개 위원회)

1. 위원회는 10개의 위원회로 나누어 두며, 각 위원회에는 위원장을 둔다.

2. 위원장은 산하에 부위원장과 위원을 둘 수 있다.

제6조(1.문화예술정책위원회)

문화예술의 발전을 위한 법과 세제 및 제도의 개선이나 위원회의 다양한 발전정책을 개발하고 실현을 모색한다.

제7조(2.홍보마케팅위원회)

문화예술의 홍보와 마케팅 개발을 통해 문화예술을 널리 알리고 위원회 임원의 활동을 홍보하고 업무를 수행한다.

제8조(3.교육개발위원회)

문화예술교육 프로그램을 개발 및 재능기부 활동 업무를 수행한다.

제9조(4.창작예술위원회)

문화예술의 향상과 도약을 위하여 콘텐츠 개발 및 제작하여 문화예술 성장에 기여한다.

제10조(5.국제문화예술교류개발위원회)

국내외 문화예술교육의 발전과 원활한 교류 증진을 위한 업무를 수행하고 집행한다.

제11조(6.미술위원회)

국내외 미술 발전과 교류를 위한 업무를 기획하고 수행한다.

제12조(7.전시기획위원회)

국내외 문화예술 향상과 교류를 위하여 국제미술제 등 다양한 전시 프로그램을 기획 및 운영한다.

제13조(8.전시운영위원회)

국내외 문화예술 향상과 교류를 위하여 국제미술제 등 다양한 전시 프로그램을 운영한다.

제14조(9.공연기획위원회)

국내외 문화예술의 향상과 도약을 위하여 공연을 기획한다.

제15조(10.공연운영위원회)

국내외 문화예술 향상과 도약을 위하여 공연을 운영한다.

규칙 제5호 전국지역협의회장단 회의 운영에 관한 규칙

제1조(목적) 이 규칙은 정관 제2조에 규정한 분회 및 지회의 설치와 운영에 관한 사항을 정함을 목적으로 한다.

제2조(기구) 의장은 협회 회장으로 하며 필요에 따라 별도의 임원을 둘 수 있다. 임원은 의결을 거쳐 회장이 정한다.

제3조(임무) 회장단 회의에서 논의한 사업은 위원회의 승인을 거쳐 추진한다.

제4조(소집) 회의체는 필요에 따라 의장이 소집할 수 있다.

규칙 제6호 징계의 내용 및 결정에 관한 규칙

제1조(목적) 징계의 구체적인 방법 및 내용을 정함을 목적으로 한다.

제2조(징계 내용) 제명, 자격 정지, 경고 등 이다.

제3조(징계 대상) 문화예술관련업무로서 금고형 이상의 실형을 선고 받은 자, 명확한 파렴치범으로서 사회적 물의를 일으킨 자

제4조(징계 결정 및 복권)

①재적윤리위원 3분의 2이상의 출석, 만장일치의결을 거쳐 위원회의 승인을 얻어야 한다.
②자격정지의 경우, 자격정지 기간 만료 후 복권요청 시 위원회의 의결을 거쳐 복권할 수 있다.

부 칙 이 규칙은 정관이 효력을 발생한 날로부터 행한다.

부 칙
제1조(시행일) 이 정관은 문화체육관광부장관의 허가를 받아 법원에 등기를 한 날로부터 시행한다.

제2조(경과조치) 이 정관 시행당시 법인설립을 위하여 발기인등이 행한 행위는 이 정관에 의하여 행한 것으로 본다.

제3조(설립당초의 임원 및 임기) 이 정관 제16조의 규정에 불구하고 본회 설립당초의 임원 및 그 임기는 다음과 같다.

제4조(창립회원) 이 정관 제7조의 규정에 불구하고 본회 창립당시의 회원은 별지와 같다.

제5조(설립자의 기명날인) 본회를 설립하기 위하여 이 정관을 작성하고 다음과 같이 설립자 전원이 기명 날인한다.

Article 1. (Name) The name of the incorporation is “International Culture & Arts Federation” referred to as “ICAF”.

Article 2. (Office) The office of ICAF shall be located in Geoje-si and branch office may be established in its necessary location.

Article 3. (Purpose) ICAF aims to contribute to the cultural improvement through healthy cultural and art activities and to preserve and success the tradition. It also interactively cooperates with international and domestic culture and arts associations and develops protection systems.

Article 4. (Business) For the purpose of above, ICAF may work on:
1. Supporting the development of international and domestic culture, arts and education
2. Cooperating with international and domestic cultural and arts associations
3. Publishing transactions and bulletins for culture and arts research
4. Supporting international and domestic exhibits and performances
5. Educating expertises for culture and arts associations
6. Other business to achieve the purpose of ICAF

Article 5. (Revenue-making)
①ICAF may have revenue-making businesses if it is necessary to cover the expenses of the business in article 4 provided that it shall not interrupt the nature of ICAF and it requires the prior consent of boards.
②ICAF shall acquire the prior consent of directors if it intends to manage a revenue-making business in the abovementioned ①.

Article 6. (Distribution of profits)
①ICAF shall distribute its profits from the revenue-making business in Article 4 to the beneficiaries with free of charge. If it intends to bear some parts of its cost, it shall acquire the permission from the minister of culture, sports and tourism in advance.
②ICAF shall not discriminate any of its beneficiaries by their birth of origin, graduated schools, occupations, gender and other social status unless ICAF restricted its purpose to specific one.

Chapter 2. Membership

Article 7. (Qualification of membership) The membership of ICAF shall satisfy the following qualification, agree to the purpose of ICAF, submit the application form. The membership shall be approved by the board of directors and reported to the general assembly.
①Expertise member: Individuals contributed the establishment of ICAF as participating as promoters, or non-profit organizations of culture and arts associations
②Special member: International and domestic organizations agreed on the purpose of ICAF
③Honored member: Individuals contributed to the development of culture and arts in Korea
④Individual member: Individuals interested in the business of ICAF

Article 8. (Rights of members)
①Members have rights to attend and participate to the management and business of ICAF.
②Special member, honored member, individual members may attend and state in the general assembly but they do not have voting rights or wehlbarkeits.
③Expertise member may delegate the rights provided that they shall submit a written report ’the name of occupation’ of the deputy of the rights.

Article 9. (Commitment of Expertise members) They shall committed to:.
1. Comply with this articles of incorporation and regulations
2. Implement the resolutions of general assembly and board of directors
3. Pay the entrance fee, annual fee and other allotments(fundamental properties, general properties and establishment funds)

Article 10. (Withdrawal of membership) If a member of ICAF would like to withdraw its membership, it shall be submitted the form of withdrawal.

Article 11. (Rewards and penalties of members and suspension of rights)
①It can make a reward to members who contribute the development of ICAF through the resolution of directors.
②It can make penalties such as dismiss, reprimand or caution to members who disagree on the purpose of ICAF, attribute to the damage of honor and reputation of ICAF or do not implement the commitments in article 9 by chairman after the resolution of directors.
③The rights of membership are suspended or removed if the members do no pay their annual fees for two years.

④Members cannot claim for return of paid entrance feed and annual fee.

Supplementary provisions
Article 1. The article 8.3 shall be completed within 30 days after the dupty starts its post.

Chapter 3. Board member

Article 12. (Positions and number of board member) The board members are:
1. one chairman
2. five vice chairmen
3. one general secretary

4. one secretary director

4. three auditors

5. ten directors of committees

Article 13. (Election of board members)

①The chairman is elected at the general assembly.
②The election of the chairman shall be held within two months from the date of vacancy.
③The election of a new chairman shall be completed two months before the termination of the term.
④Auditors shall be appointed at the general assembly by the recommendation from committees.
⑤Directors shall be elected in committees and reported to the general assembly.
⑥Except, if the directors are not available, the chairman appoints directors with the respect of succession principle of directors and reports to the general assembly.
⑦It should be immediately reported to the minister of culture, sports and tourism in related to the appointment of board members.

Article 14. (Dismissal of board members) With the resolution of the general assembly, the board members may be removed its name with:.
1. Actions disagreed on the purpose of ICAF
2. Conflicts among board members, unfair accounting or unfair acts
3. Actions to interrupt the business of ICAF

Article 15. (Limits on appointing board members)
①When appointing board members, kinships with the directors of committees may not exceed the half of quorum of the committees in accordance with the article 777 of the civil law.
②Auditors shall not have kinship with the directors of committees or auditors each other in accordance with the article 777 of the civil law.

Article 16. (Term of board members)
①The term of board members shall be four years while auditors are two years.
②The term by the election to fill the vacancy shall be the remaining term of the predecessor.

Article 17. (Duty of board members)
①Chairman shall represent ICAF, control the business and become the chairman of general assembly and committees.
②Vice chairman shall support the chairman and the deputy vice chairman shall represent the chairman when the chairman is not available by accidents.
③General secretary shall manage the secretariats and the business of ICAF with the control of chairman.
④Board members attend the meeting, vote for the business of committees and handle the issues appointed by the borad meetings or chairman.
⑤Board members may hold dual roles at the directors of committees.

⑥Auditors shall:.
1. audit the properties status of ICAF
2. audit the management and business of general assembly and committees
3. request for correction to board of directors or general assembly when noticing the unfairness in the abovementioned 1. and 2. and report to the minister of culture, sports and tourism
4. request of general assembly of committees necessary to report the abovementioned 3.
5. attend the general assembly and committee and make statements

Article 18. (Acting chairman)
①The deputy vice chairman may act chairman at accidents to chairman.
②The deputy vice chairman shall be elected by the committees.

Chapter 4. General Assembly

Article 19. (Composition of general assembly) General assembly is the superior decision-making institute and composed by board members of special members, honored members and expertise members.

Article 20. (Division and summon)

①General assembly includes regular general assembly and special general assembly and the chairman make summons.
②The regular general assembly is summoned one month before the beginning of fiscal year while the special general assembly is summoned whenever the chairman considers necessary.
③The summon for general assembly shall be notified to the board members of special members, honored members and expertise members in written clarifying the agenda, date and location by the chairman ten days before the opening of the general assembly.

Article 21. (Exemption of summons)
①Chairman shall make summon within 20 days from the summon request date with:.
1. request of summon indicating purposes by majority of directors
2. request of summon by auditors in accordance with article 17.5
3. request of summon indicating purposes by one third of directors
②If the summoner of the general assembly is vacant or avoids the summon resulting in that the general assembly is not able to be summoned more than seven days, the general assembly may be summoned by the consent of majority of one third of directors.
③In the general assembly by the abovementioned, the special chairman is elected by the officiation of the oldest director among attendees.

Article 22. (Quorum)
①The general assembly is opened at attending by majority of directors and resolutes by the consent of majority of directors among attendees.
②The resolution rights of the general assembly may be delegated to other directors in written (except the voting right). The power of attorney shall be submitted to the directors before the opening.

Article 23. (Function of general assembly) General assembly make resolutions for:
1. Election and dismis of directors
2. Dismiss of general assembly and changes of articles of incorporation
3. Aquisition and disposal of fundamental properties and loan of capital
4. Approval of budget and balancing accounts
5. Approval of project plans
6. Other issues

Article 24. (Rejection of resolution) The member is not allowed to vote for resolutions with:.
1. voting for oneself at election or dismiss
2. conflicts of interest between oneself and ICAF in related to finance and properties

Chapter 5. Committee

Article 25. (Composition of committee) The committee is composed by chairman, vice chairman, general secretary and directors of each committees.

Article 26. (Division and summon)
①Director’s meeting is summoned whenever the chairman considers necessary.
②The summon for director’s meeting shall be notified to directors and auditors in written clarifying the agenda, date and location by chairman seven days before the opening of the meeting.

Article 27. (Exemption of summons)
①Chairman shall make summons within 20 days from the summon request date with:
1. request of summon indicating purposes by one third of directors
2. request of summon by auditors in accordance with article 17.5.4
②If the summoner of the meeting is vacant or avoids the summon resulting in that the meeting is not able to be summoned more than seven days, the meeting may be summoned by the consent of majority of directors.
③The special chairmen is elected by the officiation of director amont attendees.

Article 28. (Written resolution)
①Chairman may make written resolutions for minor or urgent issues. In this case, the chairman shall report the outcomes to the meeting in next term.
②For the abovementioned written resolutions, the chairman shall comply with the request of majority of directors requesting to submit to the committee.

Article 29. (Quorum)

①The meeting is opened at attending by majority of directors and resolutes by the consent of majority of directors among attendees provided that the chairman make a resolution at tie.

②The resolution rights cannot be delegated.

Article 30. (Resolution) Committees shall make resolutions on:
1. execution of business
2. planning and management of business plan
3. preparing for budgets and balancing accounts
4. changing the articles of incorporation
5. managing the properties(acquisition and disposal of assets)
6. preparing agenda for general assembly
7. appointing board members
8. issues appointed by the general assembly
9. issues designated as rights by the article of incorporation
10. other issues considered important by chairman

Article 31. (Rejection) The rejection reasons of bard members are consistent with the article 24. rejection of resolution at the general assembly.

Chapter 6. Assets and accounting

Article 32. (Division of assets)
①The properties of ICAF is composed by fundamental properties and general properties as;
1. The fundamental properties are properties invested at establishment and properties defined as the fundamental property by board of directors.
2. The general properties are properties except the fundamental properties.
②The fundamental properties are reported annually to the minister of culture, sports and tourism.

Article 33. (Disposal of fundamental properties) At selling, giving, borrowing, exchanging or collateral the fundamental properties or waiving the commitments or rights raising loans, it shall be made resolutions by the general assembly and approved by the minister of culture, sports and tourism.

Article 34. (Income) ICAF may compensate its expenses with:.
1. Entrance fee and membership fee
2. Subsidies
3. Donation
4. Other income

Article 35. (Loan) If in is intended to make a long-term loan for the purpose of ICAF, it is required the resolutions from the board of directors and final approval from the general assembly.

Article 36. (Fiscal year) The fiscal of ICAF follows the governmental fiscal year.

Article 37. (Budget) The budget of ICAF shall be prepared one month before beginning the fiscal year and approved by the general assembly after the resolution of the committee.

Article 38. (Settlement) The settlement of account shall be prepared within two months after the termination of fiscal year and approved by the general assembly after the resolution of the committee.

Article 39. (Accounting audit) Auditor shall execute the accounting audits twice a year at the end of June and at the end of December. The chairman shall submit the accounting audit data 15 days before the audit date.

Article 40. (Wage of directors) Directors are not paid except the general secretary who is in charge of the management of the business. Except, the direct expenses for the business are payable.

Chapter 7. Secretariat

Article 41. (Secretariat)
①The secretariat is installed in order to handle the administration works directed by chairman and general secretary.
②The secretariat may have one secretary director and employees as necessary.
③The secretary director is appointed by the chairman after the resolution of board of directors.
④The general secretary controls the organization and operation of secretariat after the resolution of committees.

Chapter 8. Honored chairman, Advisor and Counsel Director

Article 42. (Appointment of honored chairman) A honored chairman can be appointed to a person who was a chairman and contributed to the development of ICAF after the resolution of board of directors.

Article 43. (Appointment of advisor)
①Advisors may be appointed for the purpose of developing ICAF.
②Advisors shall be people who contribute to the development of culture and arts and can be appointed by recommendation from chairman with the consent of committees.

Article 44. (Counsel director)
① There can be 20 counsel directors for the purpose of developing ICAF.
② Counsel directors shall be expertise in the related field and can be appointed by recommendation from chairman after the consent of board of directors.
③ Counsel directors can attend the counsel meeting, general assembly and board of directors and make statements with request from chairman and can be qualified by the same rights with the directors of committees. Except, they do not have the resolution rights at general assembly or board of directors.

④ The deputy director can be appointed for the purpose of convenient operation of the counsel directors by chairman after the resolution of board of directors.

Supplementary provisions

Article 1. The term of advisor and counsel director are consistent with the recommender(chairman).

Chapter 9. Supplementary rules

Article 45. (Dismiss of incorporation)
①If ICAF intends to dismiss, it requires the consent of two thirds of members at the general assembly and makes report about the dismiss to the minister of culture, sports and tourism.
②The remaining properties at dismiss shall be donated to national or local government or similar associations after the resolution at general assembly.

Article 46. (Changes of the articles of incorporation) At changing the articles of incorporation, it requires the consent of two thirds of members at general assembly and the approval from the minister of culture, sports and tourism.

Article 47. (Reporting) It shall be reported for the business plan and the budget for the next year and the business outcome and settlement of accounts of this year within two months after the termination of fiscal year to the minister of culture, sports and tourism. The property lists, business status and audit report shall be included at submission.

Article 48. (Regulations) It may make regulations necessary for operation besides of this articles of incorporation after the resolution of committees.

Regulation No.1 Regulation on installation and operation of local associations
Article 1(Purpose) This regulation is purposed to define the installation and operation of local associations in accordance with article 2 in articles of incorporation.

Article 2(Installation) Local association may be installed at Seoul, metropolitan cities or cities and provinces if necessary.

Article 3(Registration) When the local association is installed, it shall be registered to the local court with jurisdiction.

Article 4(Chairman of local association)
1. The local association may elect its chairman and report to ICAF.

Article 5(General administration and other employees)
1. Local association may pay wage to the administration employee within the budget of the association. The wage is determined by the chairman of the local association.

2. Local association may employ several employees to operation the association and the chairman assigns the employees.

Article 6(Duty of local association)

1. The installation and management of local association is complied with the resolution of committee.

2. The local association shall donate five million KRW to the headquarter in Seoul as the federation fee.

3. The local association shall pay two million KRW as annual fee regardless of its number of members.

4. The local association shall 10% of net profit from which its project with government subsidies and deducting the taxes and expenses to the headquarter in Seoul as its management cost.

5. At dismissing the local association, the entrance fee and annual fee are not refundable nor claimable.

Article 7(Benefits for local association)

1. The local association would be distributed the governmental subsidies based on local circumstances in order to make improvement.

2. As approved as the local association, the committee shall provide the flag for local association, flag for half-mast, the national flag of Korea and “culture interchange”, the bimonthly newsletter.

3. The local association posses the rights as an independent institution.

Regulation No.2 Regulation on the organization and management of secretariat

Article 1(Purpose) This regulation is purposed to determine the managing secretariat in accordance with the article 41 in the articles of incorporation.

Article 2(Business) The secretariat shall prepare and preserve the minute of general assembly, documents, properties and accounts, personal information of members and other issues with chairman’s order under the general secretary’s control.

Article 3(Wage)

1. Assistant administrator shall be paid 1.4 million KRW per month since 1 January 2016.

2. Secretary director shall be paid 1.5 million KRW per month since 1 January 2016.
3. General secretary shall be paed 1 million KRW per month as expenses.

Regulation No. 3 Regulation on entrance fee and menbership fee

Article 1(Purpose)

This regulation is purposed to determine the membership fee and entrance fee in accordance with the article 9 in articles of incorporation.

Article 2(Membership fee)
①For board members(full membership) is:

Entrance fee is 3 million KRW and annual fee is 0.5 million KRW.
②For special member, entrance fee is 1 million KRW and annual fee is 0.5 million KRW.
③For honored member, entrance fee is free and annual fee is 0.5 million KRW.

③For individual member, entrance fee is free and annual fee is 0.5 million KRW.

Article 3(Change of fee) 제The fee of article 2.2, 2.3 may be changed by the resolution of general assembly.

Regulation No.4 Regulation on organization and management of committee

Article 1(Purpose) This regulation is purposed to determine he organization of committees.

Article 2(Organization) ICAF has 10 committees under the chairman. The temporary special committee is allows if necessary.

Article 3(Election and term of directors)
①Directors of each committees are appointed by chairman and reported to the next board of directors and general assembly.
②The term of deputy director and general secretary is 4 years.

Article 4(Committment of directors)
①Directors conduct the business discussed with the chairman.
②Directors may recommend sub-directors(directors/full members) for the business.

Article 5(10 committees)

1. Committees consists of 10 committees and each committee has a director.

2. Directors may have vice directors and members.

Article 6(1.Committee of arts and culture policy)

It investigates the tax policy and systems to develop the culture and arts and various policies to develop and realize.

Article 7(2.Committee of PR and marketing)

It introduces arts and culture through promotion and marketing of arts and culture and promotes the activities of board members.

Article 8(3.Committee of education development)

It controls education programs for culture and arts and talent donation activities.

Article 9(4.Committee of creative arts)

It contributes to the growth of arts and culture by developing and producing the contents for arts and culture improvement.

Article 10(5.Committee of international exchanges of arts and culture)

Its role is to improve and exchange the arts and culture education.

Article 11(6.Committee of arts)

It plans and conducts exchange of arts internationally and domestically.

Article 12(7.Committee of exhibit planning)

It plans various exhibit programs such as international art exhibit to improve and exchange arts and culture.

Article 13(8.Committee of exhibit management)

It manages various exhibit programs such as international art exhibit to improve and exchange arts and culture.

Article 14(9.Committee of performance planning)

It plans performances to improve the culture and arts.

Article 15(10.Committee of performance management)

It manages performances to improve the culture and arts.

Regulation No.5 Regulation on meeting for local association directors

Article 1(Purpose) This regulation is purposed to determine the installation and operation of branches in accordance with the article 2 in articles of incorporation.

Article 2(Organization) Director shall be the chairman and sub-directors will be allowed if necessary. Directors may be appointed by chairman after resolutions.

Article 3(Committment) Business discussed in meeting of directors shall be conducted with the approval from the committees.

Article 4(Summon) The director may make summons for meeting if necessary.

Regulation No.6 Regulation on penalty

Article 1(Purpose) It is purposed to determine the specific methods and ranges of penalties.

Article 2(Penalty) Penalties are removal, suspension, caution, etc.

Article 3(Subjects) Subjects to penalty are people who are punished more than imprisonment in related to arts and culture and explicitly heinous criminal with public criticism.

Article 4(Reinstatement)

①It requires two thirds of members from ethical committee to attend, the unanimous consent of attendees and approval from the committee.
②In case of suspension, it can be reinstated with resolution of committee at request after the termination of suspension period.

Supplementary provisions These regulations are effective at the effective date of the articles of incorporation.

Supplementary rules
Article 1(Effective date) This articles incorporation is effective at the date of register with the approval from the minister of culture, sports and tourism.

Article 2(Interim measures) All actions of promoters at conducting this articles of incorporation are considered as complying with the articles of incorporation.

Article 3(Initial directors and term) Despite of the article 16, the initial directors and term at the establishment of ICAF are:

Article 4(Promoters) Despite of the article 7, the promoter members of ICAF are shown in the enclosed.

Article 5(Signature of founder) To establish ICAF, this articles of incorporation is documented and the all founders duly signed.
