Articles of Incorporation

 
Chapter 1. General Provisions
 

Article 1. (Name) The name of the incorporation is “International Culture & Arts Federation” referred to as “ICAF”.

 

Article 2. (Office) The office of ICAF shall be located in Geoje-si and branch office may be established in its necessary location.

 

Article 3. (Purpose) ICAF aims to contribute to the cultural improvement through healthy cultural and art activities and to preserve and success the tradition. It also interactively cooperates with international and domestic culture and arts associations and develops protection systems.

 

Article 4. (Business) For the purpose of above, ICAF may work on:
1. Supporting the development of international and domestic culture, arts and education
2. Cooperating with international and domestic cultural and arts associations
3. Publishing transactions and bulletins for culture and arts research
4. Supporting international and domestic exhibits and performances
5. Educating expertises for culture and arts associations
6. Other business to achieve the purpose of ICAF

 

Article 5. (Revenue-making)
¨çICAF may have revenue-making businesses if it is necessary to cover the expenses of the business in article 4 provided that it shall not interrupt the nature of ICAF and it requires the prior consent of boards.
¨èICAF shall acquire the prior consent of directors if it intends to manage a revenue-making business in the abovementioned ¨ç.

 

Article 6. (Distribution of profits)
¨çICAF shall distribute its profits from the revenue-making business in Article 4 to the beneficiaries with free of charge. If it intends to bear some parts of its cost, it shall acquire the permission from the minister of culture, sports and tourism in advance.
¨èICAF shall not discriminate any of its beneficiaries by their birth of origin, graduated schools, occupations, gender and other social status unless ICAF restricted its purpose to specific one.

 

Chapter 2. Membership

 

Article 7. (Qualification of membership) The membership of ICAF shall satisfy the following qualification, agree to the purpose of ICAF, submit the application form. The membership shall be approved by the board of directors and reported to the general assembly.
¨çExpertise member: Individuals contributed the establishment of ICAF as participating as promoters, or non-profit organizations of culture and arts associations
¨èSpecial member: International and domestic organizations agreed on the purpose of ICAF
¨éHonored member: Individuals contributed to the development of culture and arts in Korea
¨êIndividual member: Individuals interested in the business of ICAF

 

Article 8. (Rights of members)
¨çMembers have rights to attend and participate to the management and business of ICAF.
¨èSpecial member, honored member, individual members may attend and state in the general assembly but they do not have voting rights or wehlbarkeits.
¨éExpertise member may delegate the rights provided that they shall submit a written report ’the name of occupation’ of the deputy of the rights.

 

Article 9. (Commitment of Expertise members) They shall committed to:.
1. Comply with this articles of incorporation and regulations
2. Implement the resolutions of general assembly and board of directors
3. Pay the entrance fee, annual fee and other allotments(fundamental properties, general properties and establishment funds)

 

Article 10. (Withdrawal of membership) If a member of ICAF would like to withdraw its membership, it shall be submitted the form of withdrawal.

 

Article 11. (Rewards and penalties of members and suspension of rights)
¨çIt can make a reward to members who contribute the development of ICAF through the resolution of directors.
¨èIt can make penalties such as dismiss, reprimand or caution to members who disagree on the purpose of ICAF, attribute to the damage of honor and reputation of ICAF or do not implement the commitments in article 9 by chairman after the resolution of directors.
¨éThe rights of membership are suspended or removed if the members do no pay their annual fees for two years.

¨êMembers cannot claim for return of paid entrance feed and annual fee.

Supplementary provisions
Article 1. The article 8.3 shall be completed within 30 days after the dupty starts its post.

 

Chapter 3. Board member

 

Article 12. (Positions and number of board member) The board members are:
1. one chairman
2. five vice chairmen
3. one general secretary

4. one secretary director

4. three auditors

5. ten directors of committees

 

Article 13. (Election of board members)

¨çThe chairman is elected at the general assembly.
¨èThe election of the chairman shall be held within two months from the date of vacancy.
¨éThe election of a new chairman shall be completed two months before the termination of the term.
¨êAuditors shall be appointed at the general assembly by the recommendation from committees.
¨ëDirectors shall be elected in committees and reported to the general assembly.
¨ìExcept, if the directors are not available, the chairman appoints directors with the respect of succession principle of directors and reports to the general assembly.
¨íIt should be immediately reported to the minister of culture, sports and tourism in related to the appointment of board members.

 

Article 14. (Dismissal of board members) With the resolution of the general assembly, the board members may be removed its name with:.
1. Actions disagreed on the purpose of ICAF
2. Conflicts among board members, unfair accounting or unfair acts
3. Actions to interrupt the business of ICAF

 

Article 15. (Limits on appointing board members)
¨çWhen appointing board members, kinships with the directors of committees may not exceed the half of quorum of the committees in accordance with the article 777 of the civil law.
¨èAuditors shall not have kinship with the directors of committees or auditors each other in accordance with the article 777 of the civil law.

Article 16. (Term of board members)
¨çThe term of board members shall be four years while auditors are two years.
¨èThe term by the election to fill the vacancy shall be the remaining term of the predecessor.

 

Article 17. (Duty of board members)
¨çChairman shall represent ICAF, control the business and become the chairman of general assembly and committees.
¨èVice chairman shall support the chairman and the deputy vice chairman shall represent the chairman when the chairman is not available by accidents.
¨éGeneral secretary shall manage the secretariats and the business of ICAF with the control of chairman.
¨êBoard members attend the meeting, vote for the business of committees and handle the issues appointed by the borad meetings or chairman.
¨ëBoard members may hold dual roles at the directors of committees.

¨ìAuditors shall:.
1. audit the properties status of ICAF
2. audit the management and business of general assembly and committees
3. request for correction to board of directors or general assembly when noticing the unfairness in the abovementioned 1. and 2. and report to the minister of culture, sports and tourism
4. request of general assembly of committees necessary to report the abovementioned 3.
5. attend the general assembly and committee and make statements

 

Article 18. (Acting chairman)
¨çThe deputy vice chairman may act chairman at accidents to chairman.
¨èThe deputy vice chairman shall be elected by the committees.

 

Chapter 4. General Assembly

 

Article 19. (Composition of general assembly) General assembly is the superior decision-making institute and composed by board members of special members, honored members and expertise members.

 

Article 20. (Division and summon)

¨çGeneral assembly includes regular general assembly and special general assembly and the chairman make summons.
¨èThe regular general assembly is summoned one month before the beginning of fiscal year while the special general assembly is summoned whenever the chairman considers necessary.
¨éThe summon for general assembly shall be notified to the board members of special members, honored members and expertise members in written clarifying the agenda, date and location by the chairman ten days before the opening of the general assembly.

 

Article 21. (Exemption of summons)
¨çChairman shall make summon within 20 days from the summon request date with:.
1. request of summon indicating purposes by majority of directors
2. request of summon by auditors in accordance with article 17.5
3. request of summon indicating purposes by one third of directors
¨èIf the summoner of the general assembly is vacant or avoids the summon resulting in that the general assembly is not able to be summoned more than seven days, the general assembly may be summoned by the consent of majority of one third of directors.
¨éIn the general assembly by the abovementioned, the special chairman is elected by the officiation of the oldest director among attendees.

Article 22. (Quorum)
¨çThe general assembly is opened at attending by majority of directors and resolutes by the consent of majority of directors among attendees.
¨èThe resolution rights of the general assembly may be delegated to other directors in written (except the voting right). The power of attorney shall be submitted to the directors before the opening.

 

Article 23. (Function of general assembly) General assembly make resolutions for:
1. Election and dismis of directors
2. Dismiss of general assembly and changes of articles of incorporation
3. Aquisition and disposal of fundamental properties and loan of capital
4. Approval of budget and balancing accounts
5. Approval of project plans
6. Other issues

 

Article 24. (Rejection of resolution) The member is not allowed to vote for resolutions with:.
1. voting for oneself at election or dismiss
2. conflicts of interest between oneself and ICAF in related to finance and properties

 

Chapter 5. Committee

 

Article 25. (Composition of committee) The committee is composed by chairman, vice chairman, general secretary and directors of each committees.

 

Article 26. (Division and summon)
¨çDirector’s meeting is summoned whenever the chairman considers necessary.
¨èThe summon for director’s meeting shall be notified to directors and auditors in written clarifying the agenda, date and location by chairman seven days before the opening of the meeting.

 

Article 27. (Exemption of summons)
¨çChairman shall make summons within 20 days from the summon request date with:
1. request of summon indicating purposes by one third of directors
2. request of summon by auditors in accordance with article 17.5.4
¨èIf the summoner of the meeting is vacant or avoids the summon resulting in that the meeting is not able to be summoned more than seven days, the meeting may be summoned by the consent of majority of directors.
¨éThe special chairmen is elected by the officiation of director amont attendees.

 

Article 28. (Written resolution)
¨çChairman may make written resolutions for minor or urgent issues. In this case, the chairman shall report the outcomes to the meeting in next term.
¨èFor the abovementioned written resolutions, the chairman shall comply with the request of majority of directors requesting to submit to the committee.

 

Article 29. (Quorum)

¨çThe meeting is opened at attending by majority of directors and resolutes by the consent of majority of directors among attendees provided that the chairman make a resolution at tie.

¨èThe resolution rights cannot be delegated.

 

Article 30. (Resolution) Committees shall make resolutions on:
1. execution of business
2. planning and management of business plan
3. preparing for budgets and balancing accounts
4. changing the articles of incorporation
5. managing the properties(acquisition and disposal of assets)
6. preparing agenda for general assembly
7. appointing board members
8. issues appointed by the general assembly
9. issues designated as rights by the article of incorporation
10. other issues considered important by chairman

 

Article 31. (Rejection) The rejection reasons of bard members are consistent with the article 24. rejection of resolution at the general assembly.

 

Chapter 6. Assets and accounting

 

Article 32. (Division of assets)
¨çThe properties of ICAF is composed by fundamental properties and general properties as;
1. The fundamental properties are properties invested at establishment and properties defined as the fundamental property by board of directors.
2. The general properties are properties except the fundamental properties.
¨èThe fundamental properties are reported annually to the minister of culture, sports and tourism.

 

Article 33. (Disposal of fundamental properties) At selling, giving, borrowing, exchanging or collateral the fundamental properties or waiving the commitments or rights raising loans, it shall be made resolutions by the general assembly and approved by the minister of culture, sports and tourism.

 

Article 34. (Income) ICAF may compensate its expenses with:.
1. Entrance fee and membership fee
2. Subsidies
3. Donation
4. Other income

Article 35. (Loan) If in is intended to make a long-term loan for the purpose of ICAF, it is required the resolutions from the board of directors and final approval from the general assembly.

 

Article 36. (Fiscal year) The fiscal of ICAF follows the governmental fiscal year.

 

Article 37. (Budget) The budget of ICAF shall be prepared one month before beginning the fiscal year and approved by the general assembly after the resolution of the committee.

 

Article 38. (Settlement) The settlement of account shall be prepared within two months after the termination of fiscal year and approved by the general assembly after the resolution of the committee.

 

Article 39. (Accounting audit) Auditor shall execute the accounting audits twice a year at the end of June and at the end of December. The chairman shall submit the accounting audit data 15 days before the audit date.

Article 40. (Wage of directors) Directors are not paid except the general secretary who is in charge of the management of the business. Except, the direct expenses for the business are payable.

 

Chapter 7. Secretariat

 

Article 41. (Secretariat)
¨çThe secretariat is installed in order to handle the administration works directed by chairman and general secretary.
¨èThe secretariat may have one secretary director and employees as necessary.
¨éThe secretary director is appointed by the chairman after the resolution of board of directors.
¨êThe general secretary controls the organization and operation of secretariat after the resolution of committees.

 

Chapter 8. Honored chairman, Advisor and Counsel Director

 

Article 42. (Appointment of honored chairman) A honored chairman can be appointed to a person who was a chairman and contributed to the development of ICAF after the resolution of board of directors.

 

Article 43. (Appointment of advisor)
¨çAdvisors may be appointed for the purpose of developing ICAF.
¨èAdvisors shall be people who contribute to the development of culture and arts and can be appointed by recommendation from chairman with the consent of committees.


Article 44. (Counsel director)
¨ç There can be 20 counsel directors for the purpose of developing ICAF.
¨è Counsel directors shall be expertise in the related field and can be appointed by recommendation from chairman after the consent of board of directors.
¨é Counsel directors can attend the counsel meeting, general assembly and board of directors and make statements with request from chairman and can be qualified by the same rights with the directors of committees. Except, they do not have the resolution rights at general assembly or board of directors.

¨ê The deputy director can be appointed for the purpose of convenient operation of the counsel directors by chairman after the resolution of board of directors.

 

Supplementary provisions

Article 1. The term of advisor and counsel director are consistent with the recommender(chairman).

 

Chapter 9. Supplementary rules

 

Article 45. (Dismiss of incorporation)
¨çIf ICAF intends to dismiss, it requires the consent of two thirds of members at the general assembly and makes report about the dismiss to the minister of culture, sports and tourism.
¨èThe remaining properties at dismiss shall be donated to national or local government or similar associations after the resolution at general assembly.

Article 46. (Changes of the articles of incorporation) At changing the articles of incorporation, it requires the consent of two thirds of members at general assembly and the approval from the minister of culture, sports and tourism.

 

Article 47. (Reporting) It shall be reported for the business plan and the budget for the next year and the business outcome and settlement of accounts of this year within two months after the termination of fiscal year to the minister of culture, sports and tourism. The property lists, business status and audit report shall be included at submission.

 

Article 48. (Regulations) It may make regulations necessary for operation besides of this articles of incorporation after the resolution of committees.

 

Regulation No.1 Regulation on installation and operation of local associations
Article 1(Purpose) This regulation is purposed to define the installation and operation of local associations in accordance with article 2 in articles of incorporation.

Article 2(Installation) Local association may be installed at Seoul, metropolitan cities or cities and provinces if necessary.

Article 3(Registration) When the local association is installed, it shall be registered to the local court with jurisdiction.

Article 4(Chairman of local association)
1. The local association may elect its chairman and report to ICAF.

Article 5(General administration and other employees)
1. Local association may pay wage to the administration employee within the budget of the association. The wage is determined by the chairman of the local association.

2. Local association may employ several employees to operation the association and the chairman assigns the employees.

Article 6(Duty of local association)

1. The installation and management of local association is complied with the resolution of committee.

2. The local association shall donate five million KRW to the headquarter in Seoul as the federation fee.

3. The local association shall pay two million KRW as annual fee regardless of its number of members.

4. The local association shall 10% of net profit from which its project with government subsidies and deducting the taxes and expenses to the headquarter in Seoul as its management cost.

5. At dismissing the local association, the entrance fee and annual fee are not refundable nor claimable.

Article 7(Benefits for local association)

1. The local association would be distributed the governmental subsidies based on local circumstances in order to make improvement.

2. As approved as the local association, the committee shall provide the flag for local association, flag for half-mast, the national flag of Korea and “culture interchange”, the bimonthly newsletter.

3. The local association posses the rights as an independent institution.

 

Regulation No.2 Regulation on the organization and management of secretariat

Article 1(Purpose) This regulation is purposed to determine the managing secretariat in accordance with the article 41 in the articles of incorporation.

Article 2(Business) The secretariat shall prepare and preserve the minute of general assembly, documents, properties and accounts, personal information of members and other issues with chairman’s order under the general secretary’s control.

Article 3(Wage)

1. Assistant administrator shall be paid 1.4 million KRW per month since 1 January 2016.

2. Secretary director shall be paid 1.5 million KRW per month since 1 January 2016.
3. General secretary shall be paed 1 million KRW per month as expenses.

 

Regulation No. 3 Regulation on entrance fee and menbership fee

Article 1(Purpose)

This regulation is purposed to determine the membership fee and entrance fee in accordance with the article 9 in articles of incorporation.

Article 2(Membership fee)
¨çFor board members(full membership) is:

Entrance fee is 3 million KRW and annual fee is 0.5 million KRW.
¨èFor special member, entrance fee is 1 million KRW and annual fee is 0.5 million KRW.
¨éFor honored member, entrance fee is free and annual fee is 0.5 million KRW.

¨éFor individual member, entrance fee is free and annual fee is 0.5 million KRW.

Article 3(Change of fee) Á¦The fee of article 2.2, 2.3 may be changed by the resolution of general assembly.

 

Regulation No.4 Regulation on organization and management of committee

Article 1(Purpose) This regulation is purposed to determine he organization of committees.

Article 2(Organization) ICAF has 10 committees under the chairman. The temporary special committee is allows if necessary.

Article 3(Election and term of directors)
¨çDirectors of each committees are appointed by chairman and reported to the next board of directors and general assembly.
¨èThe term of deputy director and general secretary is 4 years.

Article 4(Committment of directors)
¨çDirectors conduct the business discussed with the chairman.
¨èDirectors may recommend sub-directors(directors/full members) for the business.

Article 5(10 committees)

1. Committees consists of 10 committees and each committee has a director.

2. Directors may have vice directors and members.

Article 6(1.Committee of arts and culture policy)

It investigates the tax policy and systems to develop the culture and arts and various policies to develop and realize.

Article 7(2.Committee of PR and marketing)

It introduces arts and culture through promotion and marketing of arts and culture and promotes the activities of board members.

Article 8(3.Committee of education development)

It controls education programs for culture and arts and talent donation activities.

Article 9(4.Committee of creative arts)

It contributes to the growth of arts and culture by developing and producing the contents for arts and culture improvement.

Article 10(5.Committee of international exchanges of arts and culture)

Its role is to improve and exchange the arts and culture education.

Article 11(6.Committee of arts)

It plans and conducts exchange of arts internationally and domestically.

Article 12(7.Committee of exhibit planning)

It plans various exhibit programs such as international art exhibit to improve and exchange arts and culture.

Article 13(8.Committee of exhibit management)

It manages various exhibit programs such as international art exhibit to improve and exchange arts and culture.

Article 14(9.Committee of performance planning)

It plans performances to improve the culture and arts.

Article 15(10.Committee of performance management)

It manages performances to improve the culture and arts.

 

Regulation No.5 Regulation on meeting for local association directors

Article 1(Purpose) This regulation is purposed to determine the installation and operation of branches in accordance with the article 2 in articles of incorporation.

Article 2(Organization) Director shall be the chairman and sub-directors will be allowed if necessary. Directors may be appointed by chairman after resolutions.

Article 3(Committment) Business discussed in meeting of directors shall be conducted with the approval from the committees.

Article 4(Summon) The director may make summons for meeting if necessary.

 

Regulation No.6 Regulation on penalty

Article 1(Purpose) It is purposed to determine the specific methods and ranges of penalties.

Article 2(Penalty) Penalties are removal, suspension, caution, etc.

Article 3(Subjects) Subjects to penalty are people who are punished more than imprisonment in related to arts and culture and explicitly heinous criminal with public criticism.

Article 4(Reinstatement)

¨çIt requires two thirds of members from ethical committee to attend, the unanimous consent of attendees and approval from the committee.
¨èIn case of suspension, it can be reinstated with resolution of committee at request after the termination of suspension period.

 

Supplementary provisions These regulations are effective at the effective date of the articles of incorporation.

 

Supplementary rules
Article 1(Effective date) This articles incorporation is effective at the date of register with the approval from the minister of culture, sports and tourism.

Article 2(Interim measures) All actions of promoters at conducting this articles of incorporation are considered as complying with the articles of incorporation.
